Terms of Service

§ 1. General Provisions

  1. These Terms of Service govern the use of the services provided by Synthetix Operations B.V. By accessing our website or using our services, you agree to be bound by these terms. These regulations define the rights and obligations of Users.
  2. The services are intended for business entities and are not available to individual consumers for personal use. You confirm that you have the authority to bind the entity you represent to these terms.
  3. We reserve the right to modify these terms at any time. We will notify users of any significant changes. Continued use of the service after such changes constitutes your consent to the new terms.
  4. Any disputes arising from these terms will be resolved in the competent courts of Amsterdam, Netherlands, and will be governed by the law of the Netherlands.

§ 2. Definitions

  • Platform – The online platform and software provided by Synthetix Operations, accessible via its website.
  • User – A business entity or its authorized representative who uses the Services offered by Synthetix Operations.
  • Account – The User's personalized profile used to access and manage the Services provided by the Platform.
  • Services – All AI automation, data analysis, consulting, and support services offered by Synthetix Operations.
  • Regulations – This document, the Terms of Service, outlining the rules for using the Platform.

§ 3. Type and Scope of Services Provided

  1. Synthetix Operations provides AI-driven software and consulting services for industrial and business process automation. The specific scope of services for each User is defined in a separate agreement or service order, which details the implementation plan, features, and support level.
  2. Services are provided on a subscription basis, billed monthly or annually, as agreed upon in the service order. Access to the Services requires timely payment of all applicable fees.
  3. We grant the User a non-exclusive, non-transferable, limited license to use the Platform and Services for their internal business operations during the subscription term, subject to these regulations.
  4. We reserve the right to modify or discontinue any part of the Services. We will provide reasonable notice to Users of any material changes that may adversely affect their use of the Services.

§ 4. Technical Requirements

  1. Access to the Platform requires a device with a modern web browser (e.g., Chrome, Firefox, Safari) and a stable internet connection. The User is responsible for ensuring their equipment meets these requirements.
  2. Certain services may require the installation of specific hardware, such as IoT sensors, on the User's premises. The requirements for such hardware will be specified in the service order.
  3. The User is responsible for the security of their login credentials and for all activities that occur under their Account.

§ 5. Rights and Obligations of the User

  1. The User agrees to provide accurate and complete information during the registration and audit process and to keep this information updated. The User is solely responsible for the content and data they upload to the Platform.
  2. The User agrees not to use the Services for any unlawful purpose or in any way that could damage, disable, or impair the Platform. Reverse-engineering or attempting to access the source code is strictly prohibited.
  3. The User retains all ownership rights to their proprietary data. By using the Services, the User grants Synthetix Operations a license to process this data solely for the purpose of providing and improving the Services. We will treat all User data as confidential.
  4. The User is obliged to comply with all applicable laws and regulations, including data protection laws, when using the Services and processing data through the Platform.
  5. The User must notify Synthetix Operations immediately of any unauthorized use of their Account or any other breach of security.

§ 6. Final Provisions

  1. Synthetix Operations is not liable for any indirect, incidental, or consequential damages, including loss of profits or data, arising from the use of the Services. Our total liability is limited to the amount paid by the User in the 12 months preceding the claim.
  3. For any matters not covered by these Regulations, the relevant provisions of Dutch law shall apply.
